Terms of Service

By accessing or using Mimocracy's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

These terms apply to all users of our services, including clients engaging us for web development, mobile apps, UI/UX design, blockchain solutions, marketing, technical consulting, or engineering services.

Mimocracy provides a comprehensive range of technology and consulting services, including: Web Development (creating responsive websites and web applications), Mobile App Development (iOS and Android applications), UI/UX Design (user interface and experience design), Blockchain Solutions (smart contracts and decentralized applications), Marketing Services (digital marketing and brand strategy), Tech Solutions and Security (cybersecurity and IT infrastructure), and Engineering Solutions (custom engineering projects).

The specific scope, deliverables, timelines, and costs for each project will be detailed in individual service agreements or statements of work.

As a client or user of our services, you agree to: provide accurate and complete information; cooperate with our team and provide necessary materials and feedback in a timely manner; maintain the confidentiality of any login credentials or access information; use our services only for lawful purposes; and respect intellectual property rights.

You are responsible for all activities that occur under your account or through your use of our services.

Upon full payment for services rendered, you will own the final deliverables as specified in the service agreement. This typically includes custom code, designs, and content created specifically for your project.

Mimocracy retains ownership of: our proprietary tools, frameworks, and methodologies; pre-existing code libraries and components; general knowledge and skills gained; and the right to showcase completed work in our portfolio (unless otherwise agreed).

Any third-party software, tools, or resources used in your project remain the property of their respective owners and may be subject to separate licensing terms.

Payment terms will be specified in individual service agreements. Generally: project fees are based on scope, complexity, and estimated time; payment schedules may include deposits, milestone payments, or final payments; invoices are due within the timeframe specified (typically 15-30 days); late payments may incur interest charges; and additional work beyond the agreed scope will be billed separately.

We reserve the right to suspend services for accounts with overdue payments.

We understand that in providing our services (particularly in blockchain, tech security, and engineering solutions), we may have access to confidential information. We commit to: maintaining confidentiality of your proprietary information; using such information only for the purpose of providing services; implementing reasonable security measures to protect confidential data; and not disclosing confidential information to third parties without your consent.

This obligation continues even after the termination of our service relationship.

To the maximum extent permitted by law, Mimocracy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to our services.

Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

This limitation applies to all causes of action, whether based on contract, warranty, tort, or any other legal theory.

Either party may terminate a service agreement as specified in the individual contract. Generally: clients may terminate with written notice, subject to payment for work completed; we may terminate if you breach these terms or fail to make required payments; upon termination, you must pay for all services rendered up to the termination date; and we will provide you with work completed up to the termination point.

Certain obligations, including payment obligations and confidentiality commitments, survive termination.

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Mimocracy operates, without regard to its conflict of law provisions.

Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiations. If resolution cannot be reached, disputes may be resolved through mediation or arbitration as specified in individual service agreements.

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated terms on our website and updating the 'Last Updated' date.

Your continued use of our services after such changes constitutes your acceptance of the modified terms. If you do not agree to the modified terms, you should discontinue use of our services.
